Terms of Service (B2B Website)

1) Agreement

These Terms of Service ("Terms") govern your access to and use of Taohe Tech's website and any materials, brochures, or consultation tools we make available online (collectively, the "Site"). By using the Site or submitting an inquiry, you agree to these Terms.

2) Who we are & what this Site does

Taohe Tech is a China-based education market-entry and operations consulting partner. The Site is an informational and lead-generation channel for prospective B2B partners to contact us and (optionally) book consultations; it is not a client portal, e-commerce site, or end-user learning service.

3) Eligibility & acceptable use

You must be (a) of legal age to form a binding contract and (b) accessing the Site for business purposes. You agree not to misuse the Site (e.g., no reverse engineering, scraping, introducing malware, infringing IP, illegal content, or interfering with security or availability).

4) No professional advice; proposals & contracts govern

Content on the Site is general information and not legal, tax, or regulatory advice. Any specific services we provide will be governed by a separate written agreement (e.g., consulting/services agreement, sales/billing representation agreement). If there is a conflict between these Terms and a signed agreement, the signed agreement controls for those services.

5) Your submissions

If you submit information (inquiry, meeting booking, file):

• You represent it is accurate, lawful, and yours to share.
• You grant us a worldwide, non-exclusive right to use it to review, respond, and evaluate partnership fit.
• You must not upload confidential information unless we have a separate NDA in place; otherwise, we treat inquiry content as business confidential on an industry-standard need-to-know basis.

6) Confidentiality (B2B context)

We keep non-public business information you provide in inquiries confidential and use it solely to evaluate a potential engagement, subject to legal obligations and Section 10. If deeper disclosures are needed, we will execute a mutual NDA or include confidentiality terms in a services agreement.

7) Intellectual property

The Site, its design, text, graphics, logos, and other content are owned by Taohe Tech or our licensors and protected by law. You may view and download materials for internal business evaluation only. No other license is granted by implication or otherwise.

8) Third-party tools/links

Scheduling widgets, maps, analytics, or other third-party tools may be embedded or linked. We are not responsible for third-party services or content.

9) Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS/IMPLIED), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation or that content is complete or current.

10) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAOHE TECH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED USD $100.

11) Compliance & export

You represent your use of the Site complies with applicable laws (including sanctions/export laws) and does not involve prohibited jurisdictions, parties, or activities.

12) Data protection

Our processing of personal information is described in the Privacy Policy (incorporated by reference). For client work, data protection terms (including cross-border transfer safeguards) will be set in a separate DPA or services agreement where needed.

13) Changes to the Site/Terms

We may modify, suspend, or discontinue the Site (in whole or part) and update these Terms at any time. The "Last updated" date will change; continued use means you accept the changes.

14) Governing law; dispute resolution; language

These Terms and any dispute or claim arising out of or relating to them or the Site are governed by the laws of the People's Republic of China (excluding conflict-of-laws rules).

• Venue & forum. All disputes shall be submitted to Shanghai, China for resolution. If arbitration is selected in a separate agreement, that agreement controls; absent such agreement, you agree to the competent people's court in Shanghai.
• Language. These Terms may be provided in multiple languages. The Chinese version controls; English is provided for convenience only.
